These website terms are a starting point and should be reviewed and completed by Medpia’s legal counsel before being used as the contract for paid software services.
1. Accepting these terms
By accessing the website or using a Medpia service, you agree to these Terms & Conditions and any service-specific order form or agreement that applies to you. If you use Medpia for an organization, you confirm that you are authorized to accept these terms on its behalf.
2. The Medpia service
Medpia provides software and related services for healthcare operations. Features, availability, support, integrations, and permitted uses may be described in a separate order form, subscription agreement, or service documentation. The website may contain general product descriptions that are not a promise that every feature is available to every customer.
3. Accounts and security
You are responsible for maintaining accurate account information, protecting credentials, limiting access to authorized users, and promptly reporting suspected unauthorized access. You must not share credentials, bypass security controls, or use the service in a way that could harm the service or another user.
4. Acceptable use
You must not use Medpia to violate law or rights, upload malicious code, interfere with another person’s access, attempt unauthorized access, reverse engineer the service except where the law permits, or use the service to make decisions that require professional clinical judgment without appropriate human oversight.
5. Healthcare responsibility
Medpia is an operational technology platform. It is not a doctor, medical device, emergency service, or substitute for professional medical judgment. Customers remain responsible for clinical decisions, patient communications, regulatory obligations, data accuracy, permissions, and their relationship with patients.
6. Content and intellectual property
Medpia and its licensors own the website, software, visual identity, documentation, and other Medpia materials. You retain rights to content you submit, subject to the permissions needed for Medpia to provide the service. You give Medpia the limited rights needed to host, process, secure, and display that content for the agreed service.
7. Third-party services
Medpia may connect with third-party services. Those services may have separate terms and privacy policies, and Medpia is not responsible for third-party products or content. You are responsible for authorizing integrations and maintaining any required third-party accounts.
8. Availability, disclaimers, and liability
We aim to provide a reliable service, but the website and service may occasionally be unavailable for maintenance, upgrades, or events outside our control. To the extent permitted by law, the service is provided without warranties not expressly stated in a signed agreement. Any liability limits, indemnities, payment terms, and service levels should be governed by the applicable customer agreement.
9. Suspension and termination
We may suspend access where reasonably necessary to protect the service, users, or data, or where you materially breach these terms. When access ends, you must stop using the service. Data export, deletion, and retention will be handled under the applicable service agreement and law.
10. Changes and contact
We may update these terms for the website from time to time. Continued use after an update means you accept the revised terms. For questions, contact hello@medpia.co.
